Korea’s Ministry of Trade, Industry and Resources (MOTIR) approved the business restructuring plans of four companies — Yeochun NCC, Lotte Chemical, Hanwha Solutions, and DL Chemical. This is the second petrochemical industry restructuring project, following the Daesan No. 1 project. This article explains who is merging what, where the money comes from, and what conditions attach to government support.

1) The Bottom Line: Approval Is a Starting Point, Not a Finish Line

According to the FSC press release (2026-07-22), MOTIR approved the final restructuring plans of the four companies on July 20. Approval marks the beginning of implementation. Actual incorporation, asset transfers, facility integration, and workforce redeployment will proceed in subsequent phases.

Business restructuring approval is granted under the Special Act on Corporate Vitalization (Corporate Vitalization Act). Approved companies receive tax, financial, and regulatory benefits, but plan compliance is subject to separate monitoring.

2) Who Is Merging What

Company Role

Hanwha Solutions In-kind contribution of downstream businesses (PE, adhesives, coating resins)

DL Chemical In-kind contribution of downstream business division

Lotte Chemical Physical spin-off of Yeosu plant basic materials (NCC, PE, PP)

Yeochun NCC Establishment of new integrated entity consolidating the above assets

Hanwha Solutions and DL Chemical, as Yeochun NCC shareholders, will contribute a total of KRW 545 billion (KRW 272.5 billion each). Lotte Chemical will physically spin off its Yeosu plant basic materials business for integration with Yeochun NCC.

In-Kind Contribution vs. Physical Spin-Off

Feature In-Kind Contribution Physical Spin-Off

Subject Business division assets and liabilities Entire business division (corporate separation)

Consideration Shares in new integrated entity Shares in spun-off entity

Applied to Hanwha/DL Yes (downstream businesses) No

Applied to Lotte No Yes (basic materials business)

In-kind contribution transfers assets in exchange for equity. Physical spin-off separates a business division into a standalone corporation before integration.

3) The Money: KRW 800B Self-Rescue + KRW 700B+ Government Support

Category Amount Details

Corporate self-rescue KRW 800 billion total Asset sales, business restructuring, investment plans

Government support KRW 700 billion or more Comprehensive package: finance, tax, permits, R&D

Corporate self-rescue of KRW 800B combined with government support package of KRW 700B or more. Official FSC release

Government support is not a single grant but a package combining finance, tax incentives, regulatory permits, and R&D funding. It applies the same support framework as Daesan No. 1 (HD Hyundai OilBank, HD Hyundai Chemical, Lotte Chemical).

Government Support Package Components

Support Type Details

Finance Policy financial institution loans and guarantees, preferential interest rates

Tax Acquisition tax and registration license tax reductions on asset transfers

Permits Expedited processing for integrated entity incorporation and facility relocation

R&D Support for high-value-added materials conversion R&D projects

The KRW 700 billion government support figure is stated as “or more.” Item-level allocation (finance/tax/R&D ratios) has not yet been disclosed.

4) How This Differs From Daesan No. 1

Daesan No. 1, approved in February 2026, integrated NCC operations of HD Hyundai affiliates and Lotte Chemical. Yeosu No. 2 involves four companies and simultaneously restructures downstream (Hanwha, DL) and upstream (Lotte, Yeochun NCC) operations — larger in both scale and scope.

Feature Daesan No. 1 (Feb 2026) Yeosu No. 2 (Jul 2026)

Participating companies 3 (HD Hyundai OilBank, HD Hyundai Chemical, Lotte Chemical) 4 (Yeochun NCC, Lotte Chemical, Hanwha Solutions, DL Chemical)

Restructuring scope NCC (naphtha cracking) integration NCC + downstream simultaneous restructuring

Self-rescue amount Not disclosed KRW 800 billion

Government support KRW 700 billion or more KRW 700 billion or more

Approval date Feb 2026 Jul 20, 2026

5) Why Petrochemical Restructuring Is Necessary

Korea’s petrochemical industry faces oversupply and deteriorating profitability driven by capacity expansion in China and the Middle East.

The core logic of restructuring is to integrate redundant facilities, raise utilization rates, and reinvest saved resources into high-value materials conversion.

8) Frequently Asked Questions

Q. Does restructuring approval equal government grant disbursement?

A. No. Approval grants eligibility for Corporate Vitalization Act benefits. Actual financial and tax support requires separate application and review procedures.

Q. What is the impact on Lotte Chemical shareholders from the physical spin-off?

A. A physical spin-off creates a separate entity with the parent holding 100% of its shares. There is no direct equity change for Lotte Chemical shareholders, but indirect effects may arise depending on the valuation of spun-off assets.

Q. Is Yeochun NCC a listed company?

A. Yeochun NCC is an unlisted corporation. Hanwha Solutions and DL Chemical each hold 50% equity.

Q. Do Daesan No. 1 and Yeosu No. 2 support overlap?

A. Support is provided on a per-project basis, not per company. Lotte Chemical participates in both Daesan No. 1 and Yeosu No. 2, but support for each project is separate.

Q. Will there be production disruptions during facility integration?

A. The specific integration timeline and shutdown periods have not been disclosed. NCC integration typically proceeds through phased shutdown and restart.

9) Industrial Significance of Petrochemical Restructuring

Korea’s petrochemical industry grew around three major complexes — Yeosu, Daesan, and Ulsan — since the 1970s. However, since the 2020s, large-scale capacity expansion in China and the Middle East has weakened commodity product price competitiveness, and domestic NCC utilization rates have trended downward.

The core objectives of restructuring are:

Yeosu No. 2, together with Daesan No. 1, is expected to serve as a litmus test for Korea’s petrochemical industry structural transformation.
